Comp: $230K-$250K base; Hours bonus from 1,900 billable hrs + 10% of fees collected above $10K; prorated if joining before year-end. Location: Hybrid, 3 days in-office SF. Visa: Not open to visas (US citizen / Green Card).

Responsibilities

Manage M&A transactions with significant autonomy

Outside general counsel matters for corporations and pass-through entities

Draft/negotiate commercial contracts, entity formations, financings

Ownership transitions and entity governance

Work directly with partners Laura Howard, Adam Siegel, Lori Sanders (Architecture, Engineering & Design Professional Firms practice)

Requirements

4-6 yrs corporate/transactional with hands-on deal management

JD + active California bar

M&A, governance, formations experience

Strong drafting/negotiation; can lead deal teams
